1. Acceptance of Terms

By accessing, browsing, or using the ManageLM platform (the "Service"), including but not limited to the cloud portal, agent software, website, documentation, APIs, MCP endpoints, and any related tools or services, you ("User", "You", "Your") acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms") in their entirety.

If you do not agree to these Terms, you must immediately cease all use of the Service.

By creating an account, installing agent software, or using the Service in any manner whatsoever, you represent and warrant that you have the legal capacity and authority to enter into a binding agreement. If you are acting on behalf of an organization, you represent that you are authorized to bind that organization.

2. Definitions

  • "ManageLM", "we", "us", "our" — RCDevs S.A., 1 Boulevard du Jazz, 4370 Esch-sur-Alzette, Luxembourg, the operators and providers of the ManageLM platform.
  • "Service" — the ManageLM cloud portal, website, APIs, MCP endpoints, agent software, documentation, and all related tools, features, and services.
  • "Agent" — the software daemon installed on Your Servers that communicates with the portal and executes tasks.
  • "Portal" — the ManageLM cloud-based control plane.
  • "Skills" — configuration definitions that determine what operations and commands an Agent is permitted to execute.
  • "LLM" — Large Language Model, the artificial intelligence system used by the Agent to interpret and generate commands.
  • "MCP" — Model Context Protocol, the communication protocol used between Claude and the Portal.
  • "Your Servers" — any computer systems, servers, virtual machines, containers, or infrastructure on which You install the Agent software.
  • "Your Data" — any data, information, configurations, files, credentials, or content stored on, processed by, or transmitted through Your Servers or the Service.

3. Service Description

ManageLM is a server management platform that enables users to manage Linux servers through natural language interfaces. The Service routes requests from AI clients (such as Claude via MCP) through a cloud portal to Agent software installed on the user's servers. Agents use AI/LLM technology to interpret requests and execute system commands.

CRITICAL WARNING: The Service involves the execution of system commands on Your Servers through AI-interpreted requests. While the Service includes security features such as command allowlisting and skill-scoped execution, AI systems are inherently probabilistic, non-deterministic, and may produce unexpected, incorrect, incomplete, or unintended results at any time without warning. You acknowledge and accept the inherent and substantial risks associated with using AI-driven automation on any system, including production systems, and agree that you bear sole responsibility for any consequences arising from such use.

The Service is provided on an "as available" basis. We do not guarantee uptime, availability, reliability, accuracy, or fitness for any particular purpose. Features and capabilities may change at any time without prior notice.

4. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the security and confidentiality of your account credentials, MCP secrets, API keys, access tokens, and all authentication materials.
  • Accept sole and complete responsibility for all activity that occurs under your account, whether or not authorized by you.
  • Immediately notify us of any unauthorized access or security breach.
  • Not share, transfer, or sell your account or credentials to any third party.

We reserve the right to suspend or terminate any account at our sole discretion, at any time, for any reason or no reason, without prior notice or liability.

5. Permitted Use

You may use the Service solely for lawful purposes in compliance with these Terms and all applicable local, national, and international laws and regulations. You must ensure that your use complies with all licensing requirements for any software, systems, or data you manage through the Service.

6. Prohibited Conduct

You shall not use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Access, manage, or modify systems you are not authorized to control.
  • Distribute malware, engage in hacking, or conduct any unauthorized access to any system.
  • Attempt to circumvent, disable, or interfere with any security features of the Service.
  • Reverse engineer, decompile, or attempt to extract source code from the Service (except as permitted by applicable law).
  • Use the Service to store, transmit, or process content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Perform any action that could impose an unreasonable or disproportionately large load on our infrastructure.
  • Resell, redistribute, or sublicense access to the Service without our prior written consent.
  • Use automated systems (bots, scrapers) to access the Service except through our provided APIs.

7. Your Servers & Your Data

You retain all ownership of Your Data and Your Servers. We do not claim any ownership rights over Your Data.

You acknowledge and agree that:

  • You are solely responsible for all data, configurations, systems, and infrastructure managed through the Service.
  • You are solely responsible for maintaining adequate backups of all data on Your Servers.
  • You are solely responsible for the configuration, security, and integrity of Your Servers, including all software, services, and data running on them.
  • The Service may read, modify, create, or delete files, configurations, services, users, packages, and any other system resources on Your Servers as directed through the skill and command framework.
  • ManageLM is not responsible for any data loss, corruption, deletion, modification, service disruption, security breach, or any other damage to Your Servers or Your Data, regardless of cause, including but not limited to: AI errors, LLM hallucinations, incorrect command generation, unexpected behavior, software bugs, network failures, or any other reason whatsoever.
  • You are solely responsible for testing all operations in non-production environments before applying them to production systems.

8. Agent Software & LLM Disclaimer

The Agent software is installed on Your Servers at your sole discretion and risk. You acknowledge and agree that:

  • The Agent executes system commands on Your Servers based on AI/LLM interpretations of natural language requests.
  • AI/LLM systems are inherently unreliable, non-deterministic, and may produce incorrect, unexpected, harmful, or destructive commands at any time, including commands that may result in data loss, data corruption, system downtime, service interruption, security vulnerabilities, unauthorized data exposure, or complete system failure.
  • While the Service includes security features (command allowlisting, skill scoping, execution limits), no security measure is infallible. These features reduce risk but do not eliminate it.
  • The use of local LLM software (e.g., Ollama) is entirely your responsibility. We do not control, maintain, warrant, or guarantee the behavior, accuracy, safety, or output of any LLM, whether local or cloud-based.
  • You are solely responsible for selecting, configuring, updating, and securing any LLM used with the Agent.
  • You are solely responsible for defining appropriate Skills, allowed commands, and security boundaries for each Agent.
  • Misconfiguration of Skills, commands, or Agent settings may result in unintended system changes, data loss, or security vulnerabilities, and ManageLM bears no responsibility for such outcomes.

9. Skills & Command Execution

Skills define the operations and commands that Agents may execute. You acknowledge and agree that:

  • You are solely responsible for the accuracy, appropriateness, and safety of all Skill definitions you create, import, or assign.
  • Pre-built Skills provided in the catalog are offered "as is" without any warranty of fitness, correctness, safety, or suitability for your environment.
  • The command allowlist is enforced in code, but you are responsible for ensuring the allowlisted commands are appropriate for your security requirements.
  • Any command that is on the allowlist may be executed by the Agent, even if the resulting action is destructive, harmful, or unintended.
  • ManageLM does not review, audit, or validate the commands generated by the LLM beyond checking against the configured allowlist.

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MANAGELM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE;
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, RELIABLE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • ANY WARRANTY THAT THE AI/LLM WILL GENERATE CORRECT, SAFE, APPROPRIATE, OR NON-DESTRUCTIVE COMMANDS;
  • ANY WARRANTY REGARDING THE RESULTS OBTAINED FROM THE USE OF THE SERVICE;
  • ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

YOU EXPRESSLY ACKNOWLEDGE THAT USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM MANAGELM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANAGELM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS;
  • ANY LOSS OR CORRUPTION OF DATA, SYSTEMS, OR CONFIGURATIONS;
  • ANY SYSTEM DOWNTIME, SERVICE INTERRUPTION, OR SERVER FAILURE;
  • ANY SECURITY BREACH, UNAUTHORIZED ACCESS, OR DATA EXPOSURE;
  • ANY COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
  • ANY DAMAGES RESULTING FROM AI/LLM ERRORS, HALLUCINATIONS, OR INCORRECT COMMAND GENERATION;
  • ANY DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR SERVERS;
  • ANY OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MANAGELM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MANAGELM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO MANAGELM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TEN EUROS (€10.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, MANAGELM'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless ManageLM, its officers, directors, employees, agents, partners, suppliers, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees and legal costs) arising from or related to:

  • Your use of or access to the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law, regulation, or third-party right;
  • Any damage to Your Servers, Your Data, or any third-party systems arising from your use of the Service;
  • Any claims by third parties arising from actions performed by Agents installed on systems you manage;
  • Your configuration, misconfiguration, or use of Skills, commands, or Agent settings;
  • Your selection, configuration, or use of any LLM (local or cloud-based);
  • Any content or data you process, store, or transmit through the Service.

This indemnification obligation shall survive termination of these Terms and your use of the Service.

13. Assumption of Risk

You expressly acknowledge and assume all risks associated with using the Service, including but not limited to:

  • The risk that AI-generated commands may cause data loss, data corruption, or system damage;
  • The risk that LLM hallucinations or errors may result in unintended or destructive operations;
  • The risk that security features may not prevent all unauthorized or harmful actions;
  • The risk of service interruptions, downtime, or unavailability;
  • The risk that the Service may contain bugs, errors, or security vulnerabilities;
  • The risk of unauthorized access to Your Servers or Data if credentials are compromised;
  • The risk of financial loss, business disruption, or reputational harm arising from any use of the Service;
  • Any and all other risks inherent in using AI-driven automation tools on computer systems.

You acknowledge that you have been clearly warned of these risks and that you voluntarily choose to use the Service with full knowledge and acceptance of these risks.

14. Third-Party Services

The Service may interact with, rely upon, or integrate with third-party services, including but not limited to AI/LLM providers (e.g., Ollama, OpenAI), cloud infrastructure providers, and communication protocols (e.g., MCP by Anthropic). ManageLM is not responsible for the availability, accuracy, reliability, security, or legality of any third-party service. Your use of third-party services is governed by their respective terms and conditions.

15. Intellectual Property

The Service, including all software, documentation, branding, designs, and content (excluding Your Data and User Content), is the property of ManageLM and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. This license does not grant you any ownership rights.

You retain ownership of all custom Skills, configurations, and content you create through the Service.

16. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, for any reason or no reason, with or without notice, and without any liability to you. Upon termination:

  • Your right to access and use the Service ceases immediately.
  • We may delete your account data, configurations, and associated information.
  • Agents installed on Your Servers will cease to receive tasks from the Portal but will remain installed on Your Servers until you remove them.
  • You remain responsible for removing Agent software from Your Servers.
  • Provisions that by their nature should survive termination shall survive (including limitations of liability, indemnification, disclaimers, and dispute resolution).

17. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. Changes will be effective upon posting the updated Terms on the Service. Your continued use of the Service after any modification constitutes your acceptance of the modified Terms. If you do not agree with any modification, your sole remedy is to discontinue use of the Service.

18. Dispute Resolution

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall be conducted by a single arbitrator. The language of the arbitration shall be English.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action or class-wide arbitration.

Injunctive Relief: Notwithstanding the foregoing, ManageLM may seek injunctive or other equitable relief in any court of competent jurisdiction.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the courts located in Luxembourg City, Luxembourg.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

21. Waiver

The failure of ManageLM to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by ManageLM to be effective.

22. Entire Agreement

These Terms, together with any policies or guidelines referenced herein, constitute the entire agreement between you and ManageLM regarding the Service and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral.

23. Force Majeure

ManageLM shall not be liable for any failure or delay in the performance of any obligation under these Terms due to causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, government actions, epidemics, pandemics, power failures, internet or telecommunications failures, hardware or software failures, cyberattacks, or any other event beyond our control.

25. Privacy Policy

25.1 Information We Collect

We collect the following categories of information:

  • Account Information: Email address, hashed password, and account configuration data you provide during registration.
  • Usage Data: Task logs, MCP request logs, audit logs, agent connection metadata (IP addresses, user agents, connection timestamps).
  • Technical Data: Agent hostname, agent version, server fingerprints, LLM configuration metadata.
  • Communication Data: Information you provide when contacting us (name, email, message content).

25.2 Information We Do NOT Collect

  • The contents of files on Your Servers.
  • The actual output of commands executed by Agents (unless you enable detailed task logging via the portal).
  • Secret values stored in agent secrets files — these never leave Your Servers.
  • LLM conversation content when using local LLMs — this stays on Your Server.

25.3 How We Use Your Information

  • To provide, maintain, and improve the Service.
  • To authenticate your identity and manage your account.
  • To route tasks between the Portal and your Agents.
  • To generate audit logs and task history.
  • To send important service-related communications (security alerts, account notifications).
  • To comply with legal obligations.

25.4 Data Storage & Security

All sensitive credentials (passwords, MCP secrets, API keys, OAuth tokens) are stored only as cryptographic hashes. We use industry-standard security practices including encrypted connections (TLS), constant-time comparison for secrets, rate limiting, and security headers. However, no system is completely secure, and we cannot guarantee absolute security of your data.

25.5 Data Retention

We retain your data for as long as your account is active or as needed to provide the Service. Task logs may be retained according to your configured limits. You may request deletion of your account and associated data by contacting us or using the account deletion feature.

25.6 Data Sharing

We do not sell, rent, or trade your personal information. We may share information only:

  • With service providers who assist in operating the Service (e.g., hosting, email), under appropriate data processing agreements.
  • When required by law, legal process, or governmental request.
  • To protect the rights, property, or safety of ManageLM, our users, or the public.
  • In connection with a merger, acquisition, or sale of assets (with notice to users).

25.7 Your Rights

Depending on your jurisdiction, you may have the right to access, correct, delete, or export your personal data. To exercise these rights, contact us at info@managelm.com. We will respond within 30 days.

25.8 Cookies

The Service uses essential cookies and local storage for authentication and session management. We do not use tracking cookies or third-party analytics cookies.

25.9 Children's Privacy

The Service is not intended for use by anyone under the age of 16. We do not knowingly collect personal information from children under 16.

25.10 Changes to Privacy Policy

We may update this Privacy Policy from time to time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after changes constitutes acceptance of the updated policy.

25.11 International Transfers

Your data may be processed in countries other than your country of residence. By using the Service, you consent to the transfer, processing, and storage of your data in such countries, which may have different data protection laws than your jurisdiction.

25.12 GDPR Compliance (EEA Users)

If you are in the European Economic Area (EEA), the legal basis for processing your data is: (a) performance of a contract (providing the Service), (b) legitimate interests (improving the Service, security), and (c) compliance with legal obligations. You have the right to lodge a complaint with your local data protection authority.
